Insiders
The insider information is accurate and specific information that has not been disseminated and the dissemination of which may have a significant impact on the Company's securities value.
The Insider is obliged to
- Comply with the confidentiality regime in relation to the insider information until the official disclosure by "Oil Resource Group" LLC of its insider information;
- Comply with the conditions for performing transactions with securities of "Oil Resource Group" LLC — do not perform transactions during prohibitive periods;
- Within 10 (ten) business days from the date of the request receipt from the Authorized Department to provide information on transactions with securities of "Oil Resource Group" LLC in the form in accordance with Appendix No. 2 to the Regulations on Insider Information of "Oil Resource Group" LLC.
The Insiders are prohibited from
- Disclosure of insider information known (made known) to them;
- Using insider information for purposes unrelated to their professional activities at "Oil Resource Group" LLC and (or) for purposes not provided for by the conditions of civil law or employment contracts/agreements concluded with "Oil Resource Group" LLC;
- Using insider information for personal benefit or for the benefit of others;
- Using insider information to perform transactions with financial instruments of "Oil Resource Group" LLC;
- Transfer or making available insider information to any other persons in order for them to perform transactions with financial instruments of "Oil Resource Group" LLC as well as transfer to such persons any recommendations on performing these transactions based on insider information of "Oil Resource Group" LLC.
